Helena Nathanson

My background is on the originator/arranger side in structured finance. Having done ABCP, MTNs, equity derivatives, CMBS and RMBS up until 2008, my practice now focuses almost exclusively on the Corporate Trust, Loan and Agency side of structured finance transactions. I have represented virtually all of the corporate trustee houses in the City (as well as many of their US counterparts) in connection with a variety of transactions, including numerous high-yield bond issuances, exchange traded products platforms, asset-backed commercial paper programmes, structured loan note programmes and many defaulting securitisations with varying underlying assets. I also have substantial experience in representing trustees and security agents in connection with various restructurings, schemes of arrangement (some with simultaneous Chapter 15 arrangements) and default administration. In addition, I have been involved in sales and purchases of defaulting loan portfolios (including shipping loans), replacement of transaction parties connected therewith and ultimate securitisation of the same.
