Warren Kingsley

I am a partner and lead the Employee Benefits Practice. I am also the Firm's Administrative Partner and a member of the Executive Committee. I am a frequent speaker on employee benefits matters, and have recently given numerous presentations on the impact of the Affordable Care Act/Health Reform on employers. I focus my practice on the design of qualified retirement plans, including employee stock ownership plans (ESOPs), 401(k) plans and defined benefit pension plans. I represent corporate and other sponsors of such plans, as well as individuals, in employee benefits-related matters. I have in-depth knowledge of the various methods of correction for qualified retirement plan operational failures, represent clients in numerous ESOP transactions, and prepare employee communications of benefit programs. I assist my clients with meeting their plan-related fiduciary responsibilities, including designing appropriate plan governance structures. I represent the Firm's employee benefits clients in compliance-related matters before the Internal Revenue Service (IRS) and the U.S. Department of Labor. I also advise my clients regarding the design and operation of their welfare benefit plans, including group health, life and disability programs, as well as self-funded medical arrangements. I have extensive experience with all the employee benefits issues associated with mergers, acquisitions and dispositions of business entities, including the negotiation of representations and the conduct of employee benefits due diligence.
